Artist Agreement

This Artist Agreement ("Agreement") is entered into between you ("Artist," "you," or "your") and Her Own Sky LLC, doing business as Q the Music ("Q the Music," "we," "us," or "our"). By registering as an artist on the Q the Music platform, you agree to be bound by the terms of this Agreement.

1. Definitions

  • "Content" means all audio recordings, musical compositions, artwork, images, videos, metadata, and other materials you upload to the Platform.
  • "Platform" means the Q the Music website, mobile applications, and related services.
  • "Revenue" means all income generated from your Content through the Platform, including streams, downloads, purchases, and merchandise sales.
  • "Net Revenue" means Revenue minus applicable payment processing fees, refunds, and chargebacks.
  • "Collaborator" means any third party credited on your Content who is entitled to a share of Revenue.

2. Grant of Rights

2.1 License Grant

You grant Q the Music a non-exclusive, worldwide, royalty-free license to:

  • Host, store, and cache your Content on our servers and content delivery networks
  • Stream and deliver your Content to users of the Platform
  • Reproduce your Content as necessary for technical operations (transcoding, format conversion, backup)
  • Display and distribute your Content for sale or streaming on the Platform
  • Use your name, likeness, biographical information, and Content excerpts for promotional purposes on the Platform and associated marketing channels
  • Create preview clips (up to 30 seconds) for promotional purposes
  • Include your Content in Platform playlists, recommendations, and discovery features

2.2 Ownership

You retain 100% ownership of all your Content. This Agreement does not transfer any ownership rights to Q the Music. The license granted above terminates when you remove your Content from the Platform or upon termination of this Agreement, except for Content that has been purchased by users (which remains accessible to those purchasers).

2.3 No Exclusivity

This Agreement is non-exclusive. You are free to distribute your Content through other platforms, services, or channels. We do not restrict your ability to work with other distributors or platforms.

3. Revenue and Compensation

3.1 Music and Content Revenue

This revenue split applies to all music streams, downloads, album purchases, podcast downloads, audiobook sales, and other digital content sales.

3.2 Merchandise Revenue

Merchandise revenue is calculated after deducting the cost of goods, shipping, and fulfillment costs. You are responsible for setting merchandise prices and managing inventory.

3.3 Event Ticket Revenue

Event ticket revenue is held in escrow until the event is completed. Payouts are processed within 7 business days after the event date. Refund policies for cancelled events are detailed in Section 8.

4. Payments and Payouts

4.1 Payment Processing

All payments are processed through Stripe. You must connect a valid Stripe account to receive payouts. Payment processing fees (typically 2.9% + $0.30 per transaction) are deducted before revenue split calculations.

4.2 Payout Schedule

You may choose between two payout options in your account settings:

Manual Payouts

Request a payout at any time once your balance reaches the minimum threshold of $50.00. You control when you get paid.

Automatic Payouts

Payouts are automatically processed on the 15th of each month if your balance is $50.00 or above. Balances below the threshold roll over to the next month.

You can change your payout preference at any time in your artist dashboard settings.

4.3 Payment Methods

Payouts can be received via the following methods:

Stripe

Processing typically takes 1-2 business days. Funds are deposited to your connected Stripe account, which you can then transfer to your bank.

PayPal

Funds can be received immediately. Note that PayPal charges their own processing fees, which may be higher than Stripe. Q the Music does not control fees charged by PayPal.

We do not offer direct bank deposits or wire transfers. All payouts are processed through Stripe or PayPal. Third-party processing fees are the responsibility of the artist and are deducted from the payout amount.

4.4 Taxes

You are solely responsible for all applicable taxes on your earnings. For U.S. artists earning over $600 annually, we will issue a 1099-K form. International artists may be subject to withholding requirements. We recommend consulting with a tax professional regarding your specific obligations.

5. Collaborations and Revenue Splits

5.1 Adding Collaborators

You may add up to 5 collaborators per track or release. Collaborators must have a registered Q the Music account to receive their share of revenue.

5.2 Revenue Split Configuration

  • Revenue splits must be configured before Content is published
  • Splits are expressed as whole percentages (no decimals)
  • Total splits for all collaborators (including you) must equal 100%
  • Collaborators may be assigned 0% (credit only) or any percentage up to 100%

5.3 Collaborator Roles

You may assign roles to collaborators including: Featured Artist, Producer, Songwriter, Vocalist, Instrumentalist, Mixer, Master Engineer, or Custom roles.

5.4 Disputes

Q the Music is not responsible for resolving disputes between artists and collaborators regarding revenue splits. In case of a dispute, payments may be held in escrow until the dispute is resolved. We encourage artists to have written agreements with collaborators before uploading Content.

6. Artist Representations and Warranties

By uploading Content to the Platform, you represent and warrant that:

  • You are at least 18 years of age (or have parental/guardian consent)
  • You own or control all rights necessary to grant the licenses in this Agreement
  • Your Content does not infringe any third-party intellectual property rights, including copyrights, trademarks, or rights of publicity
  • You have obtained all necessary licenses, clearances, and permissions for any samples, cover songs, or third-party content included in your Content
  • Your Content does not contain any unlawful, defamatory, or obscene material
  • Your Content does not violate any applicable laws or regulations
  • All metadata and information provided about your Content is accurate and complete
  • You have the authority to enter into this Agreement and grant the rights herein

7. Content Guidelines and Prohibited Content

7.1 Content Standards

All Content must meet our technical and quality standards:

  • Audio files: WAV or FLAC format, minimum 16-bit/44.1kHz (lossless preferred)
  • Cover art: Minimum 3000x3000 pixels, JPG or PNG format
  • Proper metadata including title, artist name, and genre
  • Original content or properly licensed material only

7.2 Prohibited Content

The following content is strictly prohibited:

  • Content that infringes on copyrights, trademarks, or other intellectual property rights
  • Hate speech, content promoting discrimination, or harassment
  • Content promoting violence, terrorism, or illegal activities
  • Sexually explicit content involving minors
  • Content that violates privacy rights or contains personal information without consent
  • Spam, malware, or deceptive content
  • Content impersonating another artist or entity

7.3 Explicit Content

Content containing explicit lyrics, themes, or imagery must be properly labeled as "Explicit." Failure to properly label explicit content may result in content removal or account suspension.

8. Events and Ticketing

8.1 Event Creation

Artists may create and sell tickets for live events through the Platform. You are responsible for:

  • Providing accurate event details (date, time, venue, capacity)
  • Securing the venue and any necessary permits
  • Delivering the event as advertised
  • Communicating any changes to ticket holders

8.2 Escrow and Payouts

Ticket revenue is held in escrow until the event is completed. This protects both artists and fans. Payouts are processed within 7 business days after the event date.

8.3 Cancellations and Refunds

If you cancel an event, all ticket holders will receive full refunds from the escrow balance. Repeated event cancellations may result in suspension of ticketing privileges. For postponed events, ticket holders must be offered the option of a refund or transfer to the new date.

9. Indemnification

You agree to indemnify, defend, and hold harmless Her Own Sky LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your Content or its use on the Platform
  • Your breach of this Agreement
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations
  • Any claims by collaborators or third parties regarding revenue splits or ownership

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HER OWN SKY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Term and Termination

11.1 Term

This Agreement begins when you register as an artist and continues until terminated by either party.

11.2 Termination by Artist

You may terminate this Agreement at any time by:

  • Removing all your Content from the Platform
  • Closing your artist account through account settings
  • Providing written notice to mxt@qthemusic.app

11.3 Termination by Q the Music

We may terminate this Agreement immediately if you:

  • Violate any provision of this Agreement
  • Upload prohibited content
  • Engage in fraudulent activity
  • Receive multiple copyright infringement claims

We may also terminate this Agreement for any reason with 30 days written notice.

11.4 Effect of Termination

Upon termination:

  • Your Content will be removed from the Platform within 30 days
  • Users who purchased your Content will retain access to their purchases
  • You will receive any outstanding payments owed within 60 days
  • You may request an export of your analytics data within 30 days of termination

12. Modifications to Agreement

We may modify this Agreement at any time. We will provide at least 30 days notice of material changes via email or through the Platform. Your continued use of the Platform after the effective date of changes constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must terminate your account before the changes take effect.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at mxt@qthemusic.app and attempt to resolve any dispute informally for at least 30 days.

13.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Ramsey County, Minnesota. You consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Q the Music regarding your use of the Platform as an artist.

14.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.

14.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
