1. Agreement to Terms

By accessing or using Q the Music ("the Platform"), operated by Her Own Sky LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Platform.

2. Description of Service

Q the Music is a music distribution and streaming platform that enables artists to share, sell, and distribute their music, podcasts, audiobooks, and other creative content directly to fans. The Platform also allows users to discover, stream, and purchase content from artists.

Our services include but are not limited to: music streaming, content purchases, merchandise sales, event ticketing, artist analytics, and fan engagement tools.

3. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Artist Accounts and Content

Artists who register on the Platform agree to the following:

• You own or have the necessary rights to all content you upload
• Your content does not infringe on any third-party intellectual property rights
• You are responsible for obtaining all necessary licenses for samples, covers, or derivative works
• You grant Q the Music a non-exclusive license to distribute, display, and promote your content on the Platform
• You retain full ownership of your original content

5. Revenue and Payments

Q the Music operates on a transparent revenue model:

• 75% of music and content sales goes directly to the artist
• 20% covers platform operations and maintenance
• 5% is donated to the Hue Logan Foundation

For merchandise sales, artists receive 85% of revenue, with 10% covering platform operations and 5% going to the Hue Logan Foundation.

Payments are processed through our secure payment partners. Artists must provide valid payment information to receive earnings. Minimum payout thresholds and payment schedules are detailed in the Artist Agreement.

6. Purchases and Refunds

All purchases of digital content (music, podcasts, audiobooks) are final and non-refundable, except where required by law. For merchandise orders, refunds may be requested within 30 days of delivery for defective or damaged items.

Event ticket refunds are subject to the individual event's refund policy as set by the artist or event organizer.

7. Prohibited Content and Conduct

You agree not to upload, post, or transmit any content that:

• Infringes on intellectual property rights of others
• Contains hate speech, harassment, or threats
• Is sexually explicit or pornographic
• Promotes violence or illegal activities
• Contains malware, viruses, or harmful code
• Violates any applicable laws or regulations
• Impersonates another person or entity

We reserve the right to remove any content that violates these terms and to suspend or terminate accounts of repeat offenders without prior notice.

8. Intellectual Property

The Q the Music name, logo, and all related marks are trademarks of Her Own Sky LLC. The Platform's design, features, and functionality are protected by copyright and other intellectual property laws.

Artists retain all ownership rights to their original content. By uploading content to the Platform, you grant us a limited, non-exclusive license to display, distribute, and promote your content as necessary to operate the service. This license terminates when you remove your content from the Platform.

9. DMCA and Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. If you believe your copyrighted work has been infringed on our Platform, please send a DMCA takedown notice to our designated agent at the contact information below.

Repeat infringers will have their accounts terminated.

10. Disclaimers and Limitations

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HER OWN SKY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

11. Indemnification

You agree to indemnify and hold harmless Her Own Sky LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your account at any time for violation of these terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform will immediately cease. Artists may request export of their content data within 30 days of account closure.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of significant changes via email or through the Platform at least 30 days before the changes take effect. Your continued use of the Platform after changes are posted constitutes acceptance of the modified terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Ramsey County, Minnesota, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
